These Terms and Conditions (“Terms”) govern access to the Gupta Enterprises website, client portal, learning curriculum, business tools, guided actions, document workspace and associated paid features (the “Services”). “We” means GUPTA ENTERPRISES and “you” means the account holder or, where applicable, an authorized organization or guardian. Our Privacy Policy describes data practices and our Refund Policy describes billing reviews and refunds. A separately signed service agreement governs its specific subject matter if it conflicts with these Terms.

1. Acceptance, eligibility and accounts

By creating or using an account, or expressly accepting these Terms when prompted, you agree to the version presented to you. If you act for an organization, you confirm that you may bind it. Provide accurate information, keep your contact address current, and protect your account, verification codes and PIN. Do not share credentials; promptly report unauthorized use. Portal access and curriculum levels are free after verified email, acceptance of the current policies and selection of an applicable learning pathway. Individually priced modules and IQ purchases are separate.

The Services are intended for all age groups. For a person under 18, a parent or lawful guardian must authorize and supervise use and contact us before registration so that any consent required by law can be arranged. Where required consent has not been arranged, do not submit the minor's information.

2. Nature of the Services

We provide learning material, business research, company-planning tools, calendars, document storage, client support and guided actions. Some information is generated or personalized using automated tools or external sources. It can be outdated, incomplete or wrong. Check sources, eligibility, costs, deadlines and filing rules with the relevant authority and, where appropriate, a qualified lawyer, accountant or other adviser. The Services do not themselves complete registrations, secure approvals, act as a law or accounting firm, or guarantee financing, income, compliance or government outcomes. A generated checklist is not confirmation of an official deadline.

Features, content and eligibility may change. Separately offered human services and deliverables are subject to their disclosed order terms. We may temporarily suspend features for security, maintenance or legal reasons, acting reasonably in relation to paid entitlements and records.

3. Purchases, IQ and access

Portal access and curriculum levels have no purchase price. Prices for separately offered paid modules and IQ are shown in Indian rupees unless stated otherwise. Applicable taxes, discounts and payment-provider charges should be shown before payment. Supported payment providers may include Razorpay, Zoho payment services and Google Play, each subject to its own checkout terms where available. Purchased module access or IQ is granted after payment is confirmed. Keep your order and invoice references for support.

“IQ” is a prepaid in-app service credit, not money, a bank balance, a transferable asset or an investment. IQ may be purchased or gifted by an administrator, can be used only for eligible portal features, and is subject to the displayed rate and available balance. Gifted or promotional IQ has no cash redemption value. Any expiry or other limits, if offered, must be disclosed before purchase or grant.

Customer-created actions

Creating a standalone manual action or accepting a whole guided action plan uses 2 IQ once upon successful creation; creation-time personalization is included. Browsing and previewing plans, reading saved plans, editing, completing, rescheduling, pausing or reopening work, and adding evidence do not incur that creation charge. Admin assignments and automatic suggestions are not charged for creation. Other features, such as curriculum unlocks, video playback, document use or other metered services, may have separately displayed rates. Future rates may change with appropriate notice without altering completed transactions. If charged creation fails, reserved IQ should be released or reversed. Deleting or archiving successfully created work does not itself reverse a valid creation charge.

Separately purchased module access is subject to the scope, duration and price shown at checkout. No recurring subscription or auto-renewal applies unless a particular offer clearly states it and you affirmatively accept it. If recurring plans are offered, frequency, cancellation and renewal terms will be displayed before purchase.

4. Refunds and billing disputes

Our Refund Policy forms part of these Terms. Admin-gifted IQ is not refundable for cash. We investigate failed or duplicate payments and incorrectly applied charges, without limiting mandatory legal remedies. Request a refund or billing review at contact@gupta-enterprises.com with your account email and transaction reference, not card details or OTPs. An approved refund may reverse the corresponding IQ or paid entitlement; records we must retain are not erased. Raise disputes promptly so we can investigate, without waiving your right to use payment-provider dispute channels.

5. Your content and acceptable use

You retain the rights you have in submitted materials and grant us a limited right to host, process, display and share them with necessary providers and authorized staff to deliver, secure and support the Services as described in the Privacy Policy. You are responsible for lawful rights to and accuracy of your submissions. Do not upload another person's confidential information without permission, unlawful content, malicious code or passwords and OTPs in notes or guide prompts.

Do not access another account, bypass eligibility or IQ charges, resell or scrape client information or content, reverse engineer where law permits us to prohibit it, disrupt the Services, impersonate an authority with generated material, or use the Services for fraud, harassment or illegal activity. We may investigate and restrict misuse, with notice where practicable.

6. Ownership, third parties and availability

Our software, brand, curriculum, templates and site design remain ours or our licensors', excluding your content. You receive a limited, personal, non-transferable right to use the Services while eligible. Third-party sites and identity or payment services have their own terms and availability. We aim for a reliable service but do not promise uninterrupted access or a particular uptime unless a separate written agreement says so.

7. Closure and legal rights

You may request account closure through available settings or by contacting us. We may restrict or close accounts for material violations, fraud, security or legal reasons, subject to applicable law and notice where appropriate. Closure does not eliminate accrued charges, an eligible refund or legally required record retention. Your consumer rights and non-excludable remedies remain unaffected.

To the extent allowed by law, we do not guarantee that educational or generated material is complete or suitable for your circumstances, and we are not liable for indirect or consequential losses to the extent the law permits. Nothing excludes liability that cannot lawfully be excluded.

8. Changes, law and contact

We may update these Terms for legal, security or product reasons with reasonable notice of material changes and renewed acceptance where required. An updated version applies from its stated effective date, not retroactively to a completed purchase. Indian law governs these Terms, without excluding a mandatory consumer forum. If a provision is unenforceable, the rest continues to the extent lawful. A failure to enforce a provision is not a waiver. For support or legal notices email contact@gupta-enterprises.com.
